If you have an old box lying around, it would be worth it, you have the advantage that the graphics card doesn't have a fan and that you can install the hard drive yourself, and it's not an old IDE that would scratch more than the gears of a poorly maintained Kadett from '89 xD
I would buy the SATA to IDE adapter, I think it would be more cost-effective and efficient.
Otherwise, unless you also want to change the heatsink and fan on the micro (which are already quiet in the PIII) I can't think of anything else to do for silence

now the cons start , which S.O do you think would be the best, I'm thinking of putting Ubuntu
I only have a 120Gs hard drive and it's sata ¿ do I buy a sata to IDe adapter or an external hard drive enclosure. suggestions are welcome

What programs are you going to use to download? If you're going to use Linux (I think it's the best option, but also the most complicated to get operational), the best thing is to use "demons" like amuled and control them remotely without having to start a VNC session.

To cool everything down, you can use a 12 cm fan at minimum speed.

I don't know how sensitive you are to sleep, but this PC is going to make noise. The worst: the hard drive and the power supply. You're going to have to modify (adapt) these two elements somehow.

Ah! And remove that sound card.

If you use the search function, you'll find at least one thread talking about putting the PC in oil. I think it would be a good option for that equipment.

The wooden box idea is good, if you have time and materials it's a perfect idea
As for the operating system, if you're new to Linux, go with Windows XP and you'll avoid problems, it will work great.
I don't find the idea of putting it in oil very attractive… if you want to add more ram or touch something on the motherboard (you never know) get ready to take everything out, clean it, dry it... and I suppose if you have little time to sleep you'll also have little time for all that

I am looking for the motherboard's features and regarding memory it has 3 slots, but some sites say that the largest module supported is 256Mb (therefore maximum 768Mb) and another site says that two slots support 512Mb and the third 256Mb (maximum 1.25Gb):

To make the computer quiet as some people say. If the micro's serial fan is noisy you can always look for another one and set it to 7v, which helped with some good ones in the case would do their job. The hard drive should not be too old. If the power supply is noisy you can change the fan (as long as it's not new).

And for the operating system if you go for bittorrent and emule you can put a Linux distro on it, but with a light environment like LXDE or as Cobito says, directly commands and it will run well if you do. If you don't want to complicate... a Windows 2000. In case of direct downloads forget about jdownloader, which being made in Java will drag on, but Miponi is a great option (only Windows, but it works on 2000, tested).

Actually, running a daemon is much more interesting than that. The program runs on the server in the background and it doesn't start the graphical server, so the resource consumption is minimal (the last time I tried something like this, it didn't reach 50 mb of ram when just started). Instead, control is done with a GUI from another PC. That is, you are controlling a program that runs "in text mode" so to speak from a GUI on a client. Or what is the same; the server only takes care of the basic functions of the program and the client from which you control it takes care of drawing you the graphical interface (which generally means a less efficient use of resources).

The result is that you get optimal performance on very old machines (even Pentiums), since the server doesn't have to load anything graphical at any time and all this is completely transparent to the user, because what he sees is an amule client (for example) that seems to be running on the client computer but is actually running on the server.
